契約翻訳ヴァガボンド

英文契約の翻訳をしていて、最もやっかいだと感じる単語の一つである。

『英米法辞典』には以下の説明がある（一部記号等を省略または変更）。

entity　1 法主体　訴訟当事者たる能力をもつ者という意味に用いられるのが通常だが、税法上は法人のほかpartnership、相続財産、信託を含むというように、法分野によって意味を異にすることがある.→legal entity
2　実体　Business entity　（企業実体）のことを単にentityということが多い. 会計上、企業という経済主体をその所有主とは別個の存在と認めることにより、企業の財産と企業の資本という概念が成立し、bouble entry（複式簿記）が成立した.

上記1の最後の文には、やや突き放されたような感を受ける。他の法分野、例えば契約法においてはどうなのかについても書いておいてほしいところだ。

『Black's Law Dictionary Eighth Edition』の記述は以下のとおり。

public entity. A governmental entity, such as a state government or one of its political subdivisions.

この説明だと、entityの語自体は、日本語の「法人」とあまり違いはない印象を受ける。

『契約・法律用語英和辞典』（これは辞書というより訳語集、用例集というべきものだが）では、entityに以下の訳語が列挙されている。

to refer to a juristic person, an artificial entity that the law treats for some purposes as if it were a person, such as an incorporated organization.

as a general term to describe all entities recognized by the law, including both juristic and natural persons.

このWikipediaの説明によれば、entityないしはlegal entityは、法人だけでなく自然人を含む場合もある、かなり広い意味をもった言葉のようである。『英米法辞典』にある「法主体」という訳語がもっとも正確にその意味を表しているように思うが、法律になじみのない人にとっては「法主体」といわれてもぴんとこないだろう。文脈と対象とする読み手に応じて、訳語も工夫する必要があると思う。
